ORDER by Magistrate Judge Susan Prose on 5/17/2024. Defendant Intercoastal Mortgage, LLC, removed this case from state court asserting diversity jurisdiction under 28 U.S.C. Section 1332. Defendant asserts that it is a Virginia limited liability company with its principal place of business in Virginia. ECF 1, 10. However, Defendant also attaches the 1988 articles of incorporation for Intercoastal Mortgage Company, a Virginia corporation. ECF 1-8. For purposes of diversity jurisdiction, unlike a corporation, the citizenship of a limited liability company is determined not by its state of organization or principal place of business, but by the citizenship of its members. See, e.g., Siloam Springs Hotel, LLC v. Century Sur. Co. , 781 F.3d 1233, 1237-38 (10th Cir. 2015); see also Americold Realty Trust v. Conagra Foods, Inc. , 577 U.S. 378, 379 (2016) ("While humans and corporations can assert their own citizenship, other entities take the citizenship of their members."). In this court's review, neither Defendant's Rule 7.1 statement (ECF 9) nor any other filing in the docket reflects the state(s) of citizenship of Defendant's members.
