ORDER re:7 . Plaintiff has still failed to adequately plead the citizenship of the Council of Institutional Investors. Describing it as a "company" does not mean that its "existence" or "principal place of business" under District of Columbia law have any relevance in determining its citizenship. Those factors are relevant only for corporations. There are lots of other kinds of companies, including sole proprietorships, general partnerships, limited partnerships, membership companies, unincorporated associations, limited liability companies, unincorporated trade associations, and foreign entities. If it is not a corporation, then plaintiff has to identify each member and interest holder in the entity and adequately allege the citizenship of each. See Bayerische Landesbank, New York Branch v. Aladdin Capital Management LLC , 692 F.3d 42, 49 (2d Cir. 2012) (citing Handelsman v. Bedford Village Associates Ltd. Partnership , 213 F.3d 48 (2d Cir. 2000); Flemming v. Port Auth. of N.Y. & N.J. , No. 21-cv-1112, 2021 WL 878558, at *1 (E.D.N.Y. March 9, 2021); U.S. Liab. Ins. Co v. M Remodeling Corp. , 444 F. Supp. 3d 408, 409-10 (E.D.N.Y. 2020). This is hornbook law and the Court should not have to walk plaintiff's counsel through it. The Court could dismiss the case now but counsel shall be given one final opportunity to make a further submission by 11/4/2024. Because of counsel's lack of familiarity with principles of federal jurisdiction, if the contention is that the Council of Institutional Investors is a corporation, plaintiff shall submit proof of such incorporation. If it is something else, plaintiff shall comply with the pleading requirements in the cases set forth above. Ordered by Judge Brian M. Cogan on 10/28/2024. |
