STIPULATION AND ORDER CONSOLIDATING THE RELATED DERIVATIVE ACTIONS, APPOINTING CO-LEAD COUNSEL FOR PLAINTIFFS, AND STAYING THE CONSOLIDATED DERIVATIVE ACTION: NOW THEREFORE, IT IS HEREBY STIPULATED AND AGREED by the Parties, through their respective counsel of record, as follows: 1. The Derivative Actions are hereby consolidated for all purposes, including pre-trial proceedings and trial, into the Consolidated Derivative Action under Case No. 1:25-cv-00371-DEH-GWG. 2. Every pleading filed in the Consolidated Derivative Action, or in any separate action included herein, shall bear the following caption: As further set forth in this Order. The files of the Consolidated Derivative Action shall be maintained in one file under Master File No. 1:25-cv-00371-DEH-GWG. 4. This Order shall apply to each derivative action arising out of the same or substantially similar circumstances, transactions or events as the Consolidated Derivative Action that is subsequently filed in, removed to, or transferred to this Court. 5. When a case which properly belongs as part of In re Xerox Holdings Corporation Stockholder Derivative Litigation, Lead Case No. 1:25-cv-00371-DEH-GWG, is hereafter filed in, removed to, or transferred to this Court, counsel for the Parties shall call such filing, removal, or transfer to the attention of the Clerk of the Court for purposes of moving the Court for an order consolidating such case(s) with In re Xerox Holdings Corporation Stockholder Derivative Litigation, Lead Case No. 1:25-cv-00371-DEH-GWG. As further set forth in this Order. ADDITIONALLY, IT IS HEREBY STIPULATED AND AGREED by Plaintiffs, through their respective counsel of record, as follows: 6. Co-Lead Counsel for plaintiffs, the respective firm resumes of which are attached hereto as Exhibits A and B, for the conduct of the Consolidated Derivative Action shall be: As further set forth in this Order. All proceedings in the Consolidated Derivative Action, including all deadlines, hearings, and conferences, will be stayed according to the terms of and during the pendency of the stay stipulation previously filed in the Lavallee Action (ECF No. 13). 11. The Defendants accept service of each of the Complaints in the Derivative Actions to the extent they have not already been served. 12. Within thirty (30) days after termination of the stay, the Parties shall confer and submit a proposed scheduling order governing further proceedings. IT IS SO ORDERED. (Signed by Judge Dale E. ORDER: The above-captioned cases appear to involve common questions of law and fact. The Court is inclined to consolidate 25-CV-371, 25-CV-1862, and 25-CV-2043 pursuant to Rule 42 of the Federal Rules of Civil Procedure for all purposes. Any party who objects to such consolidation shall file a letter brief, not to exceed three single-spaced pages, within two weeks of the date on which Defendants enter an appearance in 25-CV-2043. If no party files a letter opposing consolidation, the Court will consolidate the two cases without further notice to the parties.
