TEXT ORDER entered by Chief Judge Sara Darrow on April 4, 2025. Plaintiff invokes 28 USC 1332 as the basis for the Court's subject-matter jurisdiction, but it does not properly allege its own citizenship. First, Plaintiff alleges it "was a limited liability company" and "[i]ts member, David Napuunoa, is a citizens [sic] of Illinois."1 Compl. para. 1. But then Plaintiff alleges that it "is an Illinois corporation with its principal place of business in Illinois."1 Id. para. 3. "For diversity jurisdiction purposes, the citizenship of an LLC is the citizenship of each of its members." Thomas v. Guardsmark, LLC, 487 F.3d 531, 534 (7th Cir. 2007). In contrast, a corporation is deemed to be a citizen of every state in which it is incorporated and of the state where it has its principal place of business. 28 USC 1332(c)(1). If Plaintiff is an LLC, it must identify the citizenship of each of its members, or specify that Napuunoa is the sole member. If Plaintiff is a corporation, it must correctly identify itself as such and remove references to itself as an LLC. Plaintiff is DIRECTED to file an amended complaint properly alleging its own citizenship, or otherwise properly invoking the Court's jurisdiction, by April 25, 2025. (ARR) |
