OPINION AND ORDER: In sum, Bankruptcy Court erred by analyzing whether the six employees were statutory officers largely under a functional "control" test, instead of giving the considerable weight due to the employees' board appointment and resulting officer status under Delaware law. Since the employees are officers under the Bankruptcy Code, they are statutory insiders ineligible to receive KERP payments. For the foregoing reasons, the Bankruptcy Court's order approving the KERP is reversed as to the six employees at issue. The Clerk of Court is directed to close the case.
